1. Acceptance of Terms

By accessing or using RetailDesign.AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including users on free trials and paid subscriptions.

2. Description of Service

RetailDesign.AI is an AI-powered commercial interior design platform that provides tools for generating design concepts, analyzing spaces, creating Bills of Quantities (BOQ), sourcing products, and related design services. The Service includes, but is not limited to:

• AI-generated design concepts and renderings
• Space planning and layout optimization
• Bill of Quantities (BOQ) generation and analysis
• Product sourcing and material recommendations
• Mood board creation and multi-zone design
• Design presentations and exports

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Subscription Plans and Payment

4.1 Subscription Tiers: We offer various subscription plans (Starter, Pro, Agency, etc.) with different features and generation limits. Plan details and pricing are available on our pricing page.

4.2 Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable.

4.3 Price Changes: We reserve the right to modify subscription prices at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect.

4.4 Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

4.5 No Refunds: Due to the nature of AI services where computational resources are consumed immediately upon use, we do not offer refunds on any subscription plans or credit purchases. All sales are final. This policy is consistent with industry standards across AI platforms. We encourage you to use our free tier to explore the platform before subscribing.

5. AI-Generated Content and Intellectual Property

5.1 Your Content: You retain ownership of all images, designs, and content you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing the Service to you.

5.2 AI-Generated Designs: For designs generated by our AI tools using your inputs, you receive a non-exclusive, perpetual license to use such designs for your commercial and personal projects, subject to your active subscription status at the time of generation.

5.3 Limitations: You may not:

• Resell or redistribute AI-generated designs as standalone digital products or templates
• Use generated designs to train competing AI models
• Claim AI-generated designs as solely your original human-created work in contexts where disclosure is required
• Use the Service to generate designs that infringe on third-party intellectual property rights

5.4 Our IP: The Service, including its original content, features, and functionality, is owned by RetailDesign.AI and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated means (bots, scrapers, etc.) to access the Service without our express permission
• Reverse engineer, decompile, or attempt to extract the source code of our AI models
• Share your account credentials or allow others to access your account
• Circumvent usage limits or generation quotas through any means

7. Generation Limits and Fair Use

Each subscription plan includes specific generation limits. We reserve the right to:

• Enforce generation limits and suspend accounts that exceed their plan allowances
• Implement rate limiting to ensure fair access for all users
• Modify generation limits with reasonable notice to subscribers
• Investigate and take action against suspected abuse or gaming of the system

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.1 AI Limitations: AI-generated designs are provided for inspiration and conceptual purposes. We do not guarantee that generated designs will:

• Meet specific building codes, regulations, or safety standards
• Be structurally sound or suitable for construction without professional review
• Accurately represent real products, materials, or costs
• Be free from errors, inaccuracies, or limitations inherent to AI technology

8.2 Professional Review Required: All AI-generated designs should be reviewed and validated by qualified professionals (architects, engineers, contractors) before implementation in actual construction or renovation projects.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETAILDESIGN.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Costs of procurement of substitute services
• Construction errors, defects, or failures arising from reliance on AI-generated designs
• Third-party claims related to your use of generated designs

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless RetailDesign.AI and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

11. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by RetailDesign.AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services, including payment processors, is subject to their respective terms and conditions.

12. Modifications to Service and Terms

12.1 Service Changes: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Terms Changes: We may revise these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data after a reasonable period
• You may request export of your data within 30 days of termination
• Sections relating to intellectual property, limitations of liability, and indemnification shall survive termination

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
